Your membership with Gradient is conditioned upon your acceptance and compliance with these membership terms and conditions, available for review and printing via the Gradient electronic membership portal. As used herein, “Member,” “you,” or “your” refers to the individual whose name appears on the Membership Portal. By submitting your information via the Membership Portal and paying the Membership Fee (defined below), you agree to these terms and conditions for the benefit of Gradient, an Oklahoma not-for-profit corporation (“Gradient”). Together with the information submitted on the Membership Portal, these terms and conditions establish your “Membership” with Gradient, along with the associated benefits described below.
Gradient operates a coworking facility at 12 N Cheyenne Ave, Tulsa, Oklahoma 74103 (“Facility”), where members may lease and use space for business purposes as further detailed below.
Each member desires to lease space at the facility under these terms and conditions and agrees as follows:
Gradient offers the following membership levels with associated services. Members agree to pay the monthly membership fee in effect when they join Gradient, for the level selected on the Membership Portal or any later level chosen by the member. A one-time security & operations setup fee of $25 will be charged to each new member for access control provisioning, security setup, and operational onboarding.
By clicking “submit” on the Membership Portal, you agree to a revocable, non-transferable, nonexclusive, limited license to use the facility for general office or educational purposes only. This license does not confer any leasehold interest or estate, solely granting the right to use assigned spaces and shared areas as per Gradient’s rules. Members are assigned specific spaces, including designated desks or offices, and may not encroach upon common areas or other members’ spaces without prior consent. Common areas include shared spaces like the kitchen, bathrooms, lounges, phone booths, and conference rooms. Members must leave common areas clean for others.
Members are responsible for using the facility’s network securely and lawfully:
Members agree to use utilities, copy machines, printers, and internet services (“Common Resources”) reasonably, like other members. Any additional usage must have Gradient’s written consent. Gradient may implement metering if necessary to ensure fair access.
Members accept their assigned desks, offices, or common area desks on an “as-is” basis with no warranty on condition or suitability for business purposes. Gradient will use commercially reasonable efforts to maintain a quality environment.
Members with Dedicated Desks or Private Offices are responsible for maintaining their assigned spaces in their original condition, with normal wear and tear accepted. Any necessary repairs or replacements due to member negligence or misconduct will be at the member's expense. Members may not make alterations, drill, paint, or display signage without Gradient’s written consent and must comply with all applicable laws and regulations. Members may only use facility heating and cooling systems provided by Gradient and are responsible for obtaining any required permits or licenses for their business at their own expense.
Member acknowledges that no exclusive rights or use a particular desk or office have been granted by Gradient and that the desk(s) or office assigned to any Member by Gradient may be relocated within the Facility at any time by Gradient, with no liability to Gradient
Member acknowledges that Gradient’s active management of the Facility necessitates access by Gradient to the office or desk(s) assigned to Member, without advance notice, in order to provide the Services, view the condition of the office or desk(s), make alterations and repairs and so forth. Gradient will use reasonable efforts to ensure that such visits do not disrupt Member’s operations.
Gradient may hold public or private events at the Facility during and after Business Hours. To accommodate such events, Gradient may, on occasion, temporarily move Member work areas. Gradient shall make reasonable efforts to keep such distractions to a minimum. Property within Private Offices will not be disturbed.
Members can enter the facility using either a physical access card or the Gradient phone app, which ensures secure access and tracks entry points for safety. Members with access privileges are responsible for the security of the facility:
Gradient supports families and allows members to occasionally bring children to the facility. Children are treated as guests and must follow the same guest policies, including being signed in at the front desk by their guardian, and adhering to all Gradient policies. Children must not disrupt the workspace, and ill children should not be brought to the facility.

Pets are not permitted on the facility premises, except for working service animals as defined by the Americans with Disabilities Act (ADA).
Indoor Bike Storage: Indoor bike storage is available exclusively for members who request access. Members can request access to the bike storage room at the front desk. Usage is at the member's own risk, and Gradient is not responsible for any loss or damage to bikes stored indoors.
Monthly membership fees are charged on the 1st of each month. If a membership starts on a date other than the 1st, the initial fee will be prorated based on the days remaining in that month. Fees are considered late after the 10th, and memberships may be canceled after 60 days of non-payment if no communication is received. Gradient reserves the right to adjust membership fees annually with a 30-day notice. Outstanding balances will remain due after membership cancellation and must be paid prior to re-activating a membership.
Members renting a private office must pay a security deposit upon joining. This deposit will be held without interest and may be used by Gradient to cover any unpaid fees or damages to the facility or office space, if necessary. Upon termination of the membership, the security deposit, or any remaining portion, will be returned on request within 60 days. The refund will be issued to the payment method on file, and members are responsible for keeping their payment method updated. Members have 180 days to request their security deposit. After 180 days, deposits will be released to Gradient (Reference OLTA 41-115(B)) to cover costs associated with holding the deposit and the continued maintenance of the membership account.
Gradient is an open environment shared by many different people and organizations. Anything said should be expected to be heard by others. Given this dynamic, you are responsible for ensuring appropriate confidentiality of your business or personal information. While all members are expected to respect the privacy and confidentiality of others, Gradient bears no responsibility in this matter.
Gradient expects all members to act with integrity, respect, and professionalism, fostering a positive and inclusive environment. Members should embody Gradient’s values in every interaction, maintaining a high ethical standard. Violations may result in disciplinary action, including membership termination. Members whose memberships have been terminated may still attend public events at the facility unless terminated for harassment or security-related issues, in which case they are permanently barred from entry.
Notice of Changes or Termination
All requests to terminate or change memberships must be submitted via members@joingradient.com
Members agree to release, defend, indemnify, and hold harmless Gradient, including its affiliates, directors, managers, employees, agents, contractors, successors, and assigns (collectively, “Gradient Indemnitees”), from any and all claims, liabilities, losses, suits, demands, expenses, and damages (including attorney fees and costs) arising from or connected with the member’s activities, business, or use of the facility. This includes claims related to bodily injury, property damage, loss of life, or other damages involving third parties. This indemnification does not cover claims resulting solely from Gradient’s gross negligence or willful misconduct.
Members agree to reimburse Gradient for any actual and reasonable legal costs, including attorney fees, incurred to address or enforce a breach of the membership terms by the member. This applies regardless of whether a lawsuit is filed or settled out of court.
This agreement is governed by the laws of the State of Oklahoma. Members waive the right to a jury trial for any claims arising from this membership agreement.
Surrender: Upon membership termination, members must remove their belongings, leave their assigned space in good condition (beyond normal wear and tear), and vacate the facility. If repairs are needed due to member use, the cost may be deducted from the security deposit, with any excess costs billed directly to the member.
Abandonment: If Gradient reasonably believes a member has vacated their space without notice, it may deem the space abandoned, pack up the member’s belongings, and reassign the desk or office. Gradient will attempt to notify the member if possible. Belongings not claimed within 30 days will be donated.
Failure by Gradient to enforce any membership terms does not waive its right to enforce them in the future. Any term waivers by Gradient are discretionary and specific to each instance.
Gradient reserves the right to update or modify these terms and conditions as needed for facility management, safety, and member convenience.
Members may not use Gradient’s name, logo, or branding without permission, except as a mailing address. Gradient may use a member's name or logo in promotional materials with the member's consent.
All notices must be given in writing and delivered personally or via email to the recipient's email address on file. Notices are effective on the day of personal or electronic delivery. Either party can update their contact information by notifying the other.
Facility Insurance: Gradient maintains property and liability insurance covering the facility’s common areas and permanent fixtures.
Member Insurance: Members are responsible for their belongings and are advised to carry renter's insurance to cover personal equipment and, if applicable, legally required insurance (e.g., worker’s compensation).
Subrogation Waiver: Both Gradient and members agree to waive subrogation rights against each other for claims covered by their insurance policies.
Gradient’s policy regarding the collection and use of personal information is detailed in the attached Privacy Policy, which is incorporated by reference into these terms.
By entering Gradient premises, you acknowledge and agree that Gradient, its members, and approved partners may capture photographs, video, and audio recordings of individuals, events, and activities on the property. These materials may be used for marketing, promotional, or informational purposes in print, digital, and social media formats, without further consent or compensation. If you do not wish to be included in such media, please notify a member of the Gradient team in writing prior to your visit.
The Gradient Slack workspace is intended to be a safe and inclusive space for Gradient Members to interact. The Terms of Use are a baseline for how to interact on Slack.
